Articles of Incorporation and By-Laws
The Articles of Incorporation are the primary rules governing the management of a corporation in the United States and Canada that are filed with a state agency. ISCAID is incorporated as a not-for-profit society in the state of Illinois, United States of America. The equivalent in the United Kingdom and various other countries is Articles of Association.
The By-laws represent the more operational rules of ISCAID, including rules regarding how directors are elected, what officers the corporation has, membership, and disposition of funds. The bylaws were drafted by the corporation’s founders under the authority of our Articles of Incorporation. The bylaws generally cannot be amended by ISCAID’s Board of Directors; a vote of the membership is required.
